Introduction

Commended.ai is a digital marketplace where registered users (managers, consultants and other specialists) are matched with companies that demand specific skills for assignments. Customers create ads that are published on the platform, search for, and have the opportunity to contact / invite users who possess the required skills. Users register interest in the assignments and supplement their information via the platform. Reference persons are invited by users to submit references on the user's competencies. The matching between customer and user takes place based on the customer's specified requirements and the users' reported competencies, references, evaluations, CVs, tests, etc. with the help of AI-driven processes. Customers later evaluate the assignment performed by the user and provide feedback on the platform.

It costs nothing for you as a user to use the platform. Commended instead enters into agreements with customers who advertise on the platform and charges the customer when he finds the right competence through the platform and has entered into an assignment agreement with you as a user. Commended is not a party to the agreements that the customer enters into with users. These agreements are entered into directly between the customer and the user and are reported by the customer to the platform.

This introduction is only a brief presentation of the platform and is not part of these General Terms and Conditions.

1. General

By pressing OK, you as a User and / or Reference Person agree to be bound by these General Terms and Conditions for the use of the Platform ("Terms").

These Terms constitute an agreement between you and Commended which you undertake to strictly follow.

2.1 The platform

Commended is a platform ("the Platform") that matches managers, consultants and other specialists ("Users") with companies that demand their skills ("Customers"). The matching is made based on the User's self-assessed competencies ("Competencies"), references and grading of Competencies ("References") given by reference persons ("Reference persons"), as well as other data sources such as CV, tests, etc. (collectively "User Profile").

The platform is made available to Users and Reference Persons via the website www.commended.ai. The platform is provided by Commended AB, corporate identity number 559285-0753 (“Commended”).

Users can via the Platform select and rate their Competences, upload documents such as CVs and can specify a short "elevator pitch" to be included in the User Profile.

Through the Platform, Users can invite Reference Persons to provide References of the User's Competences. References can be given through ratings of Competences or through descriptive texts / quotes. Reference persons can also themselves describe and rate their competencies in relevant areas so that the Platform can evaluate and rate the Reference and include these weighted results in the User's User Profile. Users can also act as Reference Persons and provide References of Other Users' Competences, at the invitation of these other Users.

Customers place advertisements on the Platform regarding assignments ("Assignments") that Users may apply to perform ("Advertisement"). Customers' use of the Platform is regulated in individual agreements and is thus not covered by these Terms.

Users who respond to Advertisements on the Platform and apply to perform Assignments and are then assigned the Assignment are called "Contractors". Contractors are divided into two groups. Contractors can either perform Assignments as self-employed (eg through a sole proprietorship, limited liability company or through self-employment companies) and holders of f-tax certificates for the Customer, or for such another company as the Customer designates ("Sub-Consultant"). Contractors may perform work assignments as ordinary employees without f-tax certificates, whereby such Contractors are employed by the Customer, or for such another company as the Customer designates, for the performance of the specific assignment ("Employees").

The Customer then evaluates the User as a potential Contractor in the project. The Customer may then have contacts with the User such as telephone calls, interviews and negotiation discussions outside the Platform.

The relationship between the Customer and the User / Contractor is regulated separately in an agreement ("Assignment Agreement"). All Customer and User / Contractor transactions, incl. the more detailed description of what the Assignment consists of, payment, etc., is regulated by this Assignment Agreement. Commended is not part of these Assignment Agreements and has no rights or obligations under these Assignment Agreements.

The Customer and the User enter into the Assignment Agreement outside the Platform. Through the Platform, the Customer shall inform Commended when such an agreement is entered into with the Customer (or with a legal entity designated by the Customer) with whom they first came into contact via Commended (the Customer also reports the conclusion of the Assignment Agreement to Commended).

After completing the Assignment, the platform sends an instruction to the Customer to evaluate the User / Contractor's execution of the Assignment. This information is an additional Reference that is coded and included in the User / Contractor's User Profile.

For the User's information, the Customer has an obligation to replace Commended in the event that the Customer has come into contact with the User through the Platform ("Commission"). According to separate agreements, the Customer is obliged to report to Commended the information required for Commended to be able to calculate and invoice its Commission to the Customer. In the absence of such information to Commended, the User shall, at the request of Commended for each Assignment that the User has come in contact with via the Platform, state his invoiced amount per month as Sub-Consultant ("Invoicing"), or his total pre-tax compensation including any pension payments as Employees ( "Salary"). However, the User has under no circumstances to issue any Commission to Commended, as long as the User fulfills his obligations as above.

The conditions for the use of the Platform may change, whereby Users and Reference Persons will be made aware of it when they log in to the Platform. However, it is the responsibility of each User and Reference Person to keep themselves informed of the terms and conditions that apply at any given time.

2.2 Conditions for using the Platform as a Sub-Consultant

To be an Underkonsult, you are required to state the name, telephone, e-mail and organization number of the legal person (companies, associations, etc.) who is the Underkonsulten when registering, and continuously at the request of Commended. The sub-consultant must also hold an F-tax slip. Furthermore, you who represent the Sub-Consultant when registering, and continuously at the request of Commended, can state your name, social security number, as well as any other e-mail address and telephone number. The Deputy Consultant hereby certifies that he has the right to represent the Deputy Consultant on the Platform.

For each Execution of the Assignment, you are included as an Assignment Agreement with which regulates the conditions for the Execution of the Assignment, your compensation therefor, and more. Under no circumstances does the sub-consultant have any right to direct claims against Commended due to any non-compensation from the Customer.

The mediation of Assignments does not mean that Underkonsult is in any way in an employment or assignment relationship with Commended. The responsibility for these issues always lies with the Sub-Consultant and the Customer. Commended is also not responsible to any extent for employer contributions or other social contributions.

Users may not circumvent Commended by entering into a corresponding cooperation with the Customer as Advertised on the Platform, in other ways than through the Platform and in accordance with these Terms, without informing Commended about this to [email protected]. This applies within 2 years after use of the Platform where the User and Customer have been in contact via the Platform. This applies to both the Customer and companies close to the Customer, such as parent, sister or subsidiary. If the User violates this, Commended is entitled to a fine of SEK 50,000.

2.3 Conditions for using the Platform as an Employee

To be an Employee, you are required to provide the name, social security number, e-mail address and any telephone number to Commended when registering, and continuously at the request of Commended.

For each Execution of the Assignment, you as an Employee enter into an Assignment Agreement with the Customer or the Client which regulates the terms of the Execution of the Assignment, your compensation therefor, and more. Under no circumstances does the employee have any right to make a claim against Commended due to any non-compensation from the Customer.

The mediation of Assignments does not mean that Employees are in any way in an employment or assignment relationship with Commended. The responsibility for these issues always lies with the Employee and the Customer. Commended is also not responsible to any extent for employer contributions or other social contributions.

Users may not circumvent Commended by entering into a corresponding collaboration with the Customer as the Platform and in accordance with these Terms, without informing Commended about this to [email protected]. This applies within 2 years after use of the Platform where the User and Customer have been in contact via the Platform. This applies to both the Customer and companies close to the Customer, such as parent, sister or subsidiary. If the User violates this, Commended is entitled to a fine of SEK 50,000.

2.4 Conditions for using the Platform as a Reference Person

To be a Reference Person, it is required that when registering, and continuously on request from Commended, you can provide the name, social security number, e-mail address and any telephone number to Commended.

You undertake to provide only genuine and honest References regarding Users and their Competencies, based on your own, relevant experiences of the User and his Competencies.

2.5 Information that is registered

Users are responsible for ensuring that the information and documents that the User uploads on the Platform are correct and that they do not contravene current legislation. Specifically, the User is responsible for stating only Competences he possesses and that his grading of these is honest and in accordance with reality. Furthermore, the User is responsible for only inviting Reference Persons to submit References with which the User has / has had a professional relationship such as employer, colleague, customer or the like. The user is also responsible for ensuring that the content of documents that the user uploads as a CV is truthful.

Reference persons are responsible for, when submitting a Reference regarding a User, correctly describing their relationship to the User, to only rate the User on Competencies where he has personal (and professional) experience / insight into the User's Competencies and that the rating given corresponds to the Reference Person's personal assessment. The same applies when Users act as Reference Person and provide References regarding other Users.

The User is also aware that information in the form of feedback from Customers regarding Assignments that the User / Contractor has performed through the Platform will be coded and included in the User / Contractor's User Profile and can be both positive and negative.

2.6 Other information on use

A User / Reference Person's account may only be used by the User or Reference Person to whom the registration information relates. It is forbidden to use another User or Reference Person's account.

The User / Reference Person is responsible for maintaining the confidentiality of their account and the services that the User or Reference Person uses to log in (eg LinkedIn). The User or the Reference Person undertakes to notify Commended in the event of any unauthorized use of your account.

2.7 Cessation of use of the Platform

Users may at any time stop using the Platform and request that its information incl. User profile, deleted by contacting Commended at [email protected] . With the exception of 2.2, 2.3, 6, 7 and 8, these terms cease to apply when Users have notified Commended that they wish their data deleted from the Platform. Commended reserves the right to delete the User's account and its information after a long period of inactivity. Even then, conditions 2.2, 2.3, 6, 7 and 8 shall continue to be valid.

Reference persons may at any time stop using the Platform and request that its information, incl. User profile, deleted by contacting Commended at [email protected]. After such deletion, the Reference Person's submitted References are anonymized on Users so that it is not possible to see that it is a certain Reference Person who has submitted a certain Reference. Even after such deletion, however, the grading of the User's Competence remains, the way in which the Reference Person's Reference is weighted and coded in the User's User Profile and possibly descriptive texts / quotes (but the content of the reference left cannot be traced back to the Reference Person personally). With the exception of 2.4, 6, 7 and 8, these terms cease to apply when the Reference Person has notified Commended that they wish their data deleted from the Platform.

Commended may without prior notice to the User restrict, suspend, terminate or otherwise restrict a user account or delete certain content from a user account belonging to a User who does not comply with these Terms or who otherwise abuses or mismanages the Platform, incl. by posting illegal or otherwise inappropriate content on their User Profile. Commended does not need to justify or substantiate its decision to restrict, suspend, or otherwise restrict a user account or delete certain content from a user account.

Commended may, without prior notice to the Reference Person, restrict, suspend, terminate or otherwise restrict an account or delete certain content from an account that does not comply with these Terms or that otherwise abuses or mismanages the Platform, incl. by posting illegal or otherwise inappropriate content on their User Profile. Commended may in the same way restrict or delete References that the Reference Person has given to Users in violation of these Terms. Commended does not need to justify or substantiate its decision to restrict, suspend, terminate or otherwise restrict an account or delete any references provided.

3. Availability

The platform is available via the internet every day. Commended reserves the right to shut down the Platform in the event of updates or maintenance, for example. Interruptions, etc. may occur that affect the availability of the Platform. The communication speed between User / Reference persons and Commended's server depends partly on the User / Reference person's choice of system for data transmission, and partly on traffic volume. Commended does not guarantee the Availability of the Platform and is not responsible for any disturbances that affect the accessibility to the Platform that may occur due to internet connection, disturbances at the web host, during maintenance of the Platform or otherwise.

4. Processing of personal data

Commended always strives to maintain the highest level of security for our Users and Reference Persons integrity and security in accordance with applicable data protection laws. To strengthen the security of the personal data we collect and process, Commended works continuously with privacy issues. We encourage all Users and Reference Persons to read our entire personal data policy, information about cookies or contact us with questions regarding your personal data at email address [email protected].

5. Cookies

A cookie is a text file that is saved on your computer, smartphone, tablet or other device when using the Platform. This text file contains information that is used for the User / Reference Person to have as good an experience when using the Platform as possible. You can manage cookies among the settings in your browser, and you can choose whether you want to accept cookies on Commended's website. Commended uses cookies only to identify each User / Reference Person as unique but anonymous. Because a cookie is just a small text file that cannot contain viruses, it can not harm your computer in any way. It is also so small that you will not notice that it is on your computer or smartphone. Although Commended does not have any advertising from third-party companies, third-party companies are used to better understand our Users and Reference Persons. 6. Privacy

It is Commended's vision and policy to protect the information and confidentiality of Users and Reference Persons. Commended will use Information about Users and Reference Persons only to the extent required to provide the Platform.

The following measures shall not be considered as a violation of this provision:

Commended requires corresponding confidentiality commitments from Customers and other service providers involved in the performance of the services provided via the Platform. However, Commended is not responsible for the fulfillment of these obligations by these parties in this part.

7. Limitation of liability

Commended's liability towards Users and Reference Persons' use of the Platform is governed by these Terms. Commended has no responsibility towards the Customer and the Contractor, in relation to the performance of the Assignment, which is completely regulated by a separate agreement between the Contractor and the Customer. As the Platform only mediates contact regarding Assignments, Commended does not assume any responsibility for any damage that Customer or Contractor incurs in the performance of Assignments. Commended also assumes no responsibility for the content of Assignments, the Customer's possible non-payment, and more. Commended assumes no responsibility for any changes in the Assignment's tasks or job description.

To the extent permitted by law, Commended makes no warranties that the Platform will function properly or that the Platform or its servers will be free from computer viruses or other malicious features or mechanisms. If the User or the Reference Person's use of the Platform leads to the need for maintenance, repair or replacement of equipment or data or any other costs, Commended is not responsible for these costs. The platform is provided in "existing condition" without any guarantees of any kind. To the fullest extent permitted by law, Commended disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. Commended makes no warranties as to the accuracy, reliability, completeness or timeliness of the content, services,

To the extent permitted by law, under no circumstances shall Commended, their suppliers or any third party mentioned on any of Commended's websites be liable for any damages of any kind (including, but not limited to, direct or indirect damages and consequential damages, lost revenue, lost business opportunities or damages arising from data loss, missed employment opportunities or business interruptions) arising from the use or lack of use of any of Commended's websites and its contents, whether based on warranty, contract, damages or other legal grounds; , and whether or not Commended is informed of the risk of such damage.

To the extent permitted by law, Commended's maximum liability arising out of or in connection with any Commended Website and / or use of the Platform, regardless of the basis of the claim (whether it is an agreement, damages, warranty or otherwise) may not exceed 5,000 kr.

8.1 Intellectual property rights/General

The content of the Website, including the catalog of relevant competencies compiled by Commended ("Taxonomy") and the underlying software are protected, among other things. under the Copyright Act. The copyright and all other intellectual property rights linked to the Platform and / or the Website belong to Commended. The information also has copyright protection as a database according to the same law. It is forbidden to make copies of all or part of the content on the Website without Commended's consent - regardless of the technology used. Without such consent, it is also forbidden to make all or part of the content on the Website available to the public through the use of the Internet or in any other way, e.g. by using Taxonomy in the development of another service or product.

These Terms do not grant the User or the Reference Person any right to any intellectual property rights of Commended.

Commended owns all information that the Users and the Reference Person uploads in the Platform or that is otherwise created, included in or arises through the Platform, and has the free right to use this information, but not in violation of the personal data policy or the privacy provision.

No person may copy, scrape, publish, integrate or otherwise use the content of the Platform without the express written permission of Commended,

8.2 Linking

The above shall not, however, imply any restriction on the User's right to link to and share the personal competency profile that the user may publish from Commended at the web address https://profile.commended.ai/[andrainer's unique URL]

When linking to the Website, the Website must always be opened in a new window. The content may never be presented within the framework of another website without Commended's prior consent. It is not permitted to link in such a way that the content of the website is likely to be distorted or misunderstood.

9. Comments / Complaints on the Platform

Commended is an early-stage company and therefore seeks ongoing contact with its Users and Reference Persons. Comments and / or complaints are gratefully received via email [email protected]. Users and Reference Persons are also requested to immediately report to Commended errors or deficiencies in the Platform that affect the user experience

10. Dispute

Disputes that arise regarding the application or interpretation of these terms shall be finally settled by arbitration in accordance with the Rules for Simplified Arbitration for the Stockholm Chamber of Commerce's Arbitration Institute. The seat of the arbitration shall be Stockholm. The language of the procedure must be Swedish. Swedish law shall be applied to the dispute.

If any part of this Agreement is found to be invalid in such dispute, the invalidity in this part shall not affect the validity of the remaining parts of the Agreement, which shall remain in full force and effect between the parties. No waiver of any provision of the Agreement shall be deemed to constitute a further or continued waiver of such provision or any other provision. In addition, if Commended were not to maintain any provision of the Agreement, this shall not be deemed to constitute a waiver of such provision or otherwise affect Commended's ability to maintain such terms at any future time.
